Welcome to Nexchamps!
Nexchamps is a SaaS (Software as a Service) educational platform for learning and practicing Abacus and Mathematics, designed for students aged 6-14 years. The platform is owned and operated by Intudo Consulting, based in Gurgaon, India ("we", "us", "our").
These Terms of Use ("Terms") govern your access to and use of the Nexchamps platform, including our website at nexchamps.com and any associated applications. Using Nexchamps includes creating an account, accessing learning modules, participating in activities, or simply browsing our platform. These Terms establish the rights and obligations between you and Intudo Consulting, enabling us to provide our educational services and allowing you to benefit from them.
Please read these Terms carefully before using Nexchamps. These Terms are legally binding. By accessing or using our platform, you agree to be bound by these Terms without reservation. If you do not agree with any part of these Terms, you may not access or use Nexchamps. You confirm that you have the legal authority and capacity to enter into these Terms. Your use of Nexchamps must comply with all applicable laws and regulations in your country of residence.
Nexchamps collects and processes personal data. Please review our Privacy Policy for detailed information about our data collection practices, how we use your information, and your rights regarding your personal data.
Your Account
Account Types
You must create an account to use Nexchamps for its intended educational purposes. We provide four types of accounts:
- Organization Administrator (org_admin) Account - For institutional leaders who manage their organization's subscription, onboard teachers, and oversee organizational operations
- Teacher Account - For educators who manage students and conduct teaching activities (may be institutional or freelance)
- Student Account - For learners aged 6-14 years
- Parent Account - For parents/guardians monitoring their child's progress
Account Security
You are responsible for maintaining the confidentiality of your account credentials. Do not share your username or password with others. Any activity conducted through your account is considered to be performed by you personally.
When creating an account, you agree to provide accurate, complete, and truthful information. You are solely responsible for keeping your login credentials secure.
Important for Student Accounts: If you have a student account and forget your password, you may be unable to recover access unless a linked parent, teacher, or organizational administrator can reset it for you. Please remember your password or ensure your account is linked with someone who can assist with password recovery.
Account Hierarchy and Linking
Nexchamps operates with a hierarchical account structure:
Organizations (via org_admin):
- Organizational administrators manage their institution's subscription
- Org_admins can onboard and manage teacher accounts within their organization
- Org_admins can create and manage student accounts
- Org_admins have access to organizational-level analytics and settings
Freelance Teachers:
- Freelance teachers can subscribe individually to Nexchamps
- Freelance teachers can onboard additional teachers under their account
- Freelance teachers manage billing for teachers they onboard
- Each teacher (including those onboarded by freelance teachers) manages their own students
Student-Teacher-Parent Linking:
- Student accounts are linked to teachers when created by teachers or assigned by org_admins
- Student accounts can be linked to parent accounts through parental verification
- Teachers can view and manage data for students they teach
- Parents can view their linked child's learning data
- Org_admins can view data for all students within their organization
Age Requirements
If you are creating an organizational administrator, teacher, or parent account, you certify that you are at least 18 years of age. When linking your parent account to a student account, you certify that you are the parent or legal guardian of that student. When creating student accounts as a teacher or org_admin, you certify that you have the necessary authorization to do so.
Account Responsibilities by Type
Organization Administrators:
- Ensure compliance with your organization's policies and applicable laws
- Manage teacher and student accounts responsibly
- Maintain accurate billing and subscription information
- Ensure teachers under your organization use the platform appropriately
Freelance Teachers:
- If you onboard other teachers, you are responsible for managing their access and billing
- You must ensure teachers you onboard comply with these Terms
- You are responsible for payment of subscriptions for any teachers you onboard
Teachers (Institutional and Freelance):
- Use student data only for legitimate educational purposes
- Maintain confidentiality of student information
- Ensure appropriate use of platform features in educational settings
- Comply with your organization's policies (if institutional) or the policies of the teacher who onboarded you
Students and Parents:
- Use the platform only for its intended educational purposes
- Maintain the confidentiality of account credentials
- Report any issues or concerns to teachers or administrators
Account Termination
We reserve the right to terminate, suspend, or disable your account if you violate any of these Terms. We may take such action immediately, without prior notice and without liability. Upon account termination, your right to access and use Nexchamps will immediately cease.
Cascading Effects of Account Termination:
- If an org_admin account is terminated, the organization's subscription may be affected
- If a freelance teacher account is terminated, teachers onboarded by that teacher may lose access
- If a teacher account is terminated, their students' access may be affected (students may be reassigned to another teacher)
Nexchamps reserves the right to modify the account system, features, or functionality described in these Terms at any time.
If you wish to close your account, you may request account deletion by contacting us in writing at deep.sharma@intudo.in. Account deletion requests are subject to data retention requirements outlined in our Privacy Policy.
Subscription and Payment
SaaS Subscription Model
Nexchamps operates as a Software as a Service (SaaS) platform with flexible subscription options:
1. Organizational Subscriptions:
- Educational institutions subscribe through organizational administrators
- Pricing based on number of teacher licenses, student licenses, and selected modules
- Billed annually or as per subscription agreement
- Org_admins manage all billing and subscription matters
2. Freelance Teacher Subscriptions:
- Individual teachers can subscribe directly to Nexchamps
- Pricing based on number of students and selected features
- Freelance teachers can onboard additional teachers under their subscription
- The primary freelance teacher is responsible for payment for all teachers they onboard
3. Teacher-Under-Freelance Subscriptions:
- Teachers onboarded by freelance teachers receive access through the primary teacher's subscription
- Billing is managed by the primary freelance teacher who onboarded them
- These teachers can manage their own students but cannot onboard additional teachers
Subscription Tiers and Billing
Subscription pricing is determined by:
- Number of user licenses (teachers and students)
- Selected modules (Abacus, Mathematics, Live Quiz, etc.)
- Subscription duration (monthly, annual, or multi-year)
- Additional features or services
Billing Cycles:
- Organizational subscriptions: Typically annual, billed to org_admin
- Freelance teacher subscriptions: Monthly or annual, billed to the teacher
- Payment processed through Razorpay, PayTM, or PayPal
Subscribers will be billed automatically according to their subscription agreement. You authorize us to charge your payment method on each renewal date until you cancel your subscription.
Payment Responsibilities
Organizational Administrators:
- Responsible for all subscription payments for their organization
- Must maintain valid payment information
- Responsible for any teachers or students under their organization's subscription
Freelance Teachers:
- Responsible for their own subscription payments
- If they onboard additional teachers, responsible for payment for those teachers as well
- Must maintain valid payment information for uninterrupted service
Students and Parents:
- Do not make direct payments to Nexchamps
- Access is provided through organizational or teacher subscriptions
Subscription Cancellation and Refunds
Cancellation Process:
- Organizational administrators may cancel their organization's subscription at any time
- Freelance teachers may cancel their subscription at any time
- Cancellations take effect at the end of the current billing period
Effects of Cancellation:
- Upon cancellation, access continues until the end of the paid period
- After expiration, all users under that subscription lose access to the platform
- Learning data may be retained according to our Privacy Policy
Refund Policy:
- Refunds may be provided for unused subscription periods at our discretion
- Refund requests must be submitted in writing to deep.sharma@intudo.in
- Refunds are typically processed within 14-30 business days
- No refunds are issued if your account is terminated for violation of these Terms
Price Changes: Nexchamps reserves the right to modify subscription fees. Subscribers will receive at least 30 days advance notice via email before any price changes take effect. Price changes apply to renewal subscriptions; current subscription periods are honored at the original price.
Trial Periods and Promotions
We may offer trial periods or promotional pricing at our discretion. Trial terms and promotional offers are subject to specific conditions communicated at the time of the offer. We reserve the right to modify or discontinue trials or promotions at any time.
Your Responsibilities
Acceptable Use
You agree not to misuse the Nexchamps platform or assist others in doing so. Misuse includes, but is not limited to:
- Accessing areas of the platform that are not available to your account type or are restricted
- Attempting to access another organization's data or accounts
- Disrupting platform services through viruses, overloading, spamming, or other malicious attacks
- Attempting to bypass security measures or authentication systems
- Testing vulnerabilities in our software, network, or infrastructure without authorization
- Using automated means (such as scripts, bots, or automated tools) to access content or complete activities
- Impersonating another person or falsifying your identity
- Using the platform to harass, stalk, or harm other users
- Accessing or attempting to access other users' personal data without authorization
- Harassing Nexchamps employees, representatives, or other users
- Creating multiple accounts through automated means or in bulk (except as authorized for org_admins and teachers)
- Violating any applicable laws or regulations
- Sharing your account credentials with unauthorized parties
- Reselling or redistributing Nexchamps services without authorization
Specific Responsibilities by Account Type
Organization Administrators:
- Ensure teachers and students in your organization use the platform appropriately
- Maintain accurate organizational information and billing details
- Comply with applicable education data privacy laws
- Obtain necessary consents for student data processing
- Do not onboard unauthorized individuals
- Promptly report any security concerns or policy violations
Freelance Teachers:
- If you onboard other teachers, ensure they comply with these Terms
- Maintain accurate billing information
- Use the platform only for legitimate educational purposes
- Do not share student data inappropriately
- Obtain necessary parental consents for students under 13 (where required by law)
Teachers:
- Use student data only for educational purposes
- Maintain confidentiality of student information
- Do not share student learning data outside the platform without authorization
- Report any inappropriate student behavior or safety concerns
- Comply with your organization's policies (if institutional)
Students:
- Complete your own work; do not share answers during assessments
- Respect other students and teachers on the platform
- Do not attempt to access other students' accounts or data
- Use the platform only for educational purposes
Parents:
- Do not access the platform using your child's credentials
- Respect the educational setting and teacher authority
- Report concerns through appropriate channels (teacher or org_admin)
Username and Conduct Standards
Your username and any display names must not be:
- Harmful, threatening, or abusive
- Insulting or derogatory
- Obscene or sexually explicit
- Unlawful or promoting illegal activity
- Impersonating others or misrepresenting your identity
- Containing profanity or offensive language
Educational Integrity
Since Nexchamps is used in educational settings:
- Students must complete their own work honestly
- Cheating, plagiarism, or academic dishonesty is prohibited
- Teachers must use assessment data ethically and fairly
- All users must respect the educational mission of the platform
No Warranties
We strive to provide the highest quality educational platform possible. However, certain circumstances in business and technology may affect service delivery.
Nexchamps is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no warranties of any kind, whether express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Completeness or accuracy of content
- Availability or uptime
- Compatibility with your devices
- Security or safety
- Uninterrupted or error-free operation
We do not warrant that:
- The platform will be error-free or uninterrupted
- Errors will be corrected within any specific timeframe
- The platform will meet your specific requirements
- Results obtained from using the platform will be accurate or reliable
- Any particular student learning outcomes will be achieved
Any information received from Nexchamps that is not expressly stated in these Terms does not create a warranty or guarantee.
Multi-Tenant Service Disclaimer
As a multi-tenant SaaS platform, we implement data isolation measures to protect organizational and user data. However, we do not warrant absolute security in a shared infrastructure environment. You acknowledge the inherent risks of cloud-based services.
Indemnification
You agree to indemnify, defend, and hold harmless Intudo Consulting, its officers, directors, employees, agents, and representatives from any and all claims, demands, losses, liabilities, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to:
- Your use or misuse of Nexchamps
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your violation of any applicable laws or regulations
- Any content you submit or actions you take on the platform
- Your breach of any representations or warranties in these Terms
Additional Indemnification for Organizational Administrators and Freelance Teachers:
If you manage other users (as an org_admin or freelance teacher who onboards other teachers), you additionally agree to indemnify us for:
- Actions of teachers or students under your management
- Data privacy violations by users you manage
- Failure to obtain necessary consents or authorizations
- Misuse of the platform by users you onboarded
If your actions may cause harm to Nexchamps, you agree to cooperate fully with our defense against any such claims.
Limitation of Liability
You use Nexchamps at your own risk. To the maximum extent permitted by applicable law, we limit our liability for damages as follows:
Excluded Damages
Intudo Consulting and Nexchamps shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, or business opportunities
- Loss of data or information (though we implement regular backups)
- Business interruption
- Loss of goodwill or reputation
- Personal injury or property damage resulting from your use of the platform
- Costs of procurement of substitute services
- Claims related to decisions made based on platform data or analytics
Limited Liability Exceptions
Our liability is not limited in cases where damages are caused by:
- Intentional misconduct on our part
- Gross negligence by Nexchamps
- Circumstances where liability cannot be limited by law (such as certain consumer protection laws)
- Death or personal injury caused by our negligence
Maximum Liability Cap
In no event shall our total aggregate liability exceed the greater of:
- ₹10,000 (Indian Rupees Ten Thousand), or
- The amount paid by you (or your organization) for Nexchamps subscriptions in the 12 months preceding the claim
For organizational subscriptions, liability is capped at the annual subscription fee paid by the organization.
Additional Limitations
Nexchamps is not liable for damages caused by:
- Service interruptions, downtime, or platform unavailability
- Data loss due to user error or third-party actions
- Unauthorized access to our servers or data despite security measures
- Viruses, malware, or other harmful code transmitted through the platform
- External websites linked from Nexchamps (we have no control over third-party websites)
- Actions of other users on the platform
- Loss of access due to forgotten passwords or account termination
- Technical issues with user devices or internet connectivity
Educational Context
When using Nexchamps in an educational setting, please note:
- Nexchamps is a supplementary learning tool, not a replacement for formal education
- We are not responsible for academic outcomes or student performance
- We are not an intermediary between teachers/institutes and students
- Teachers and institutes determine how platform activities contribute to academic evaluation
- If you are a student unable to complete assignments due to platform issues, you must address this with your teacher or institute
- We are not liable for disputes between students, parents, teachers, or institutions
Multi-Tenant SaaS Limitations
As a multi-tenant SaaS platform:
- We are not liable for data access or security issues caused by user error (such as sharing credentials)
- We are not responsible for actions taken by organizational administrators or teachers within their authorized scope
- We are not liable for disputes between users within an organization or freelance teacher network
Intellectual Property
Platform Content
All content on the Nexchamps platform, including but not limited to:
- Learning modules and educational content
- Abacus training materials and methodologies
- Mathematics exercises, problems, and solutions
- Worksheets and practice materials
- Live Quiz content and questions
- Software, source code, and algorithms
- Graphics, logos, design elements, and user interface
- Text, images, videos, and multimedia content
- Platform architecture and database structures
is owned by or licensed to Intudo Consulting and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of India and international treaties.
Limited License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Nexchamps solely for its intended educational purposes within the scope of your subscription. You may not:
- Copy, modify, or create derivative works of platform content
- Distribute, sell, sublicense, or lease platform content to others
- Reverse engineer, decompile, or attempt to extract source code
- Remove, alter, or obscure any copyright, trademark, or proprietary notices
- Use platform content outside the Nexchamps platform
- Frame or mirror any part of the platform
- Use automated tools to scrape or download content
Organizational and Teacher Rights
Organization Administrators and Teachers may:
- Generate reports and worksheets for their students within the platform
- Download reports for educational record-keeping
- Print worksheets for classroom use
- Use platform features to conduct classes and assessments
These rights are limited to authorized educational use and do not transfer ownership of the underlying content.
Student Work
Students retain ownership of their original work and responses created on the platform. However, by using Nexchamps, all users grant us a worldwide, non-exclusive, royalty-free license to:
- Use anonymized, aggregated learning data to improve our platform and algorithms
- Analyze usage patterns to enhance educational effectiveness
- Generate statistics and reports on platform performance
- Develop new features and content based on usage insights
We will not use identifiable student work for marketing purposes without explicit consent from the student's parent or guardian (for students under 18) or the student themselves (if 18 or older).
Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas about Nexchamps, you grant us the right to use such feedback without any obligation to compensate you. We may implement your suggestions in the platform without attribution.
Trademarks
"Nexchamps," our logo, and other marks used on the platform are trademarks of Intudo Consulting. You may not use our trademarks without our prior written permission.
Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using Nexchamps, you consent to:
- Data collection as described in our Privacy Policy
- Processing of personal data for educational purposes
- Sharing of student data with authorized teachers, org_admins, and linked parent accounts
- Use of anonymized, aggregated data for platform improvement and analytics
- Data storage on servers located in India
Data Access and Responsibilities
Organization Administrators:
- Have access to data for all users within their organization
- Must comply with applicable education data privacy laws
- Must obtain necessary consents for data processing
- Are responsible for managing data access within their organization
Freelance Teachers:
- Have access to data for students they directly teach
- Have limited access to aggregated data for teachers they onboard (not individual student data unless they teach those students)
- Must obtain necessary parental consents for students under 13 (where required by law)
- Must comply with applicable data privacy laws
Teachers:
- Have access only to data for students they teach
- Must use student data only for educational purposes
- Must maintain confidentiality of student information
- Must comply with their organization's data policies (if institutional)
Parents:
- Have access only to their linked child's data
- Cannot access other students' data
- May request deletion of their child's data (subject to educational requirements)

Changes and Updates
Platform Modifications
Nexchamps reserves the right to modify, suspend, or discontinue any aspect of the platform at any time, with or without notice. This includes:
- Adding, removing, or modifying features and functionality
- Changing learning modules, content, or curriculum
- Updating user interfaces and workflows
- Modifying subscription tiers or pricing structures
- Adjusting data storage or security measures
We are not liable for any damages resulting from platform modifications. However, in the event of material changes or permanent discontinuation:
- Subscribers will be given reasonable advance notice when feasible
- Organizations and freelance teachers may be eligible for pro-rata refunds for prepaid periods
- We will provide data export options where possible to allow you to retain your data
Changes to Terms
We reserve the right to update or modify these Terms at any time. Changes may be made to reflect:
- Legal or regulatory requirements
- Platform feature updates or changes
- Operational or business model changes
- Improved clarity, accuracy, or completeness
Notice of Changes:
- Material changes will be communicated via email to account holders (org_admins, teachers, parents)
- The "Last Updated" date at the top of this document will be revised
- We may also provide in-platform notifications of significant changes
- For organizational accounts, we will notify org_admins who are responsible for communicating changes to their users
Effect of Changes:
- Changes take effect immediately upon posting unless otherwise specified
- Continued use of Nexchamps after changes take effect constitutes acceptance of the updated Terms
- If you do not agree with updated Terms, you must discontinue use and may cancel your subscription
We recommend reviewing these Terms periodically to stay informed of any changes, especially if you are an organizational administrator or teacher responsible for others.
Dispute Resolution
Informal Resolution
Before initiating any formal legal action, you agree to first attempt to resolve any disputes with us informally. To do so:

- Provide a detailed description of your complaint or concern
- Include any relevant information, documentation, or evidence
- Specify what resolution you are seeking
We will respond within 14 business days and work with you in good faith to resolve the issue. You must provide additional information or clarification as reasonably requested during this process. Both parties agree to engage in good faith negotiations for at least 30 days before pursuing formal legal action.
Escalation for Organizations
For disputes involving organizational subscriptions:
- Initial contact should be made by the org_admin or authorized representative
- We may request a call or video meeting to discuss the matter
- Complex disputes may be escalated to senior management for resolution
Formal Legal Action
You may only file a formal claim or initiate legal proceedings if:
- We are unable to resolve your complaint through informal means
- We refuse to address your complaint
- We fail to respond within the specified timeframe
- Good faith negotiations have been exhausted
Governing Law and Jurisdiction
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Jurisdiction:
- For Indian users: Courts in Gurgaon, Haryana shall have exclusive jurisdiction over any disputes
- For international users: You may have additional rights under your local consumer protection laws, but Indian law shall govern the interpretation of these Terms
You agree to submit to the personal jurisdiction of the courts located in Gurgaon, Haryana, India, for the resolution of any disputes.
Arbitration
For disputes involving subscription amounts exceeding ₹5,00,000 (Five Lakh Indian Rupees), parties may mutually agree to binding arbitration in Gurgaon, India, conducted in accordance with the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted in English by a single arbitrator mutually agreed upon by both parties.
Arbitration terms:
- Each party bears its own costs unless the arbitrator awards costs to the prevailing party
- The arbitrator's decision shall be final and binding
- Arbitration proceedings and awards shall be confidential
Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
General Provisions
Notices and Communications
All notices, requests, and communications under these Terms must be provided:
- Primarily: Via email to the address associated with your account
- Alternatively: Via registered postal mail (only when email is not feasible)
For Organizational Administrators: Notices will be sent to the primary org_admin email address on file. Org_admins are responsible for communicating relevant information to teachers and students within their organization.
For Freelance Teachers who onboard other teachers: Notices will be sent to the primary freelance teacher. You are responsible for communicating relevant information to teachers you have onboarded.
For account-related communications: We may use in-platform notifications, email, or other reasonable means.
Please notify us promptly of any changes to your email address or mailing address if you have provided one.

Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and Intudo Consulting regarding your use of Nexchamps. These Terms supersede all prior or contemporaneous communications, proposals, and agreements (whether oral or written) between the parties regarding the subject matter herein.
For organizational subscriptions: Any separate subscription agreement between your organization and Intudo Consulting shall supplement these Terms. In case of conflict, the subscription agreement shall prevail to the extent of the conflict.
No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Intudo Consulting. No waiver of any breach shall constitute a waiver of any subsequent breach.
Assignment and Transfer
Your rights: You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.
Our rights: We may freely assign, transfer, or delegate our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Effect on organizations: If your organization is acquired or merged with another entity, please notify us to ensure proper account management and data handling.
Survival
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, dispute resolution provisions, and general provisions.
Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God (earthquakes, floods, fires, etc.)
- Natural disasters
- War, terrorism, riots, or civil unrest
- Government actions, regulations, or orders
- Internet service failures or telecommunications disruptions
- Power outages or utility failures
- Pandemics, epidemics, or public health emergencies
- Labor disputes or strikes (not involving our employees)
- Failures of third-party service providers
During a force majeure event, our obligations will be suspended for the duration of the event. We will make reasonable efforts to notify affected users and resume services as soon as practicable.
Relationship of Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Intudo Consulting. You have no authority to make or accept any offers or representations on our behalf.
For organizational administrators and freelance teachers: Your relationship with teachers or students you manage does not create any agency relationship between those users and Intudo Consulting.
Export Compliance
You agree to comply with all applicable export and import laws and regulations. You may not use or export the Nexchamps platform in violation of Indian export laws or any other applicable export laws and regulations.
Language
